1. Acceptance of terms
By submitting an assessment request, accessing a Valence report, or otherwise using our services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
These terms constitute a binding agreement between you (or the organization you represent) and Valence.
2. Services
Valence provides AI readiness assessment reports for acquisition targets in private equity and M&A contexts. Our services include:
- AI readiness assessments across up to 6 analytical dimensions
- Written reports delivered via private link
- Expert advisory sessions (Tier 2 and above)
Scope, deliverables, and timelines are as described on our website and confirmed in writing upon engagement.
3. Fees and payment
Fees are as listed on our website at the time of engagement. All fees are in USD and exclusive of applicable taxes.
Payment is due in full prior to report delivery, unless otherwise agreed in writing. For advisory engagements, payment terms are specified in the engagement letter.
All fees are non-refundable once work has commenced, except as required by applicable law or as expressly agreed in writing.
4. Confidentiality
Valence treats all information you provide — including target company details, deal parameters, and internal context — as strictly confidential. We will not disclose this information to any third party except as required to deliver the service (e.g., AI processing infrastructure) or as required by law.
You agree to treat any information, methodologies, or data contained in Valence reports as confidential and proprietary. Reports are for your internal use only and may not be redistributed, sublicensed, or made publicly available without our prior written consent.
5. Intellectual property
Valence retains all intellectual property rights in its methodologies, frameworks, analytical models, and software. The content of individual reports is licensed to you for internal use in connection with the specific transaction for which it was prepared.
You may share report content internally within your organization and with your advisors and co-investors under confidentiality obligations. You may not reproduce or publish report content externally without written permission.
6. Disclaimers and limitations
Valence reports represent our analysis and professional judgment based on the information provided at the time of engagement. They are not:
- A guarantee of financial outcomes or investment performance
- Legal, tax, or regulatory advice
- A substitute for full legal or financial due diligence
- An endorsement of any transaction
All investment decisions remain solely your responsibility. Valence is not liable for any losses arising from reliance on our reports.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALENCE’S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE RELEVANT ENGAGEMENT.
7. AI-generated content
Our reports incorporate analysis generated with the assistance of large language models (specifically Anthropic’s Claude). While we review and quality-control all outputs, AI-generated analysis may contain errors, omissions, or limitations inherent to the technology.
You acknowledge that AI-assisted analysis is a tool to support human judgment and should be treated accordingly.
8. Delivery and timelines
Standard delivery timelines are as advertised (typically 5 business days for full reports, 48 hours for scans). We will make reasonable efforts to meet stated timelines but do not guarantee delivery by a specific date unless expressly committed in writing.
Timelines begin from the date we receive a complete and accurate intake submission.
9. Accuracy of information provided
You represent that information provided in your intake submission is, to the best of your knowledge, accurate and not misleading. The quality of our analysis depends on the quality of information provided. Valence is not responsible for errors in reports arising from inaccurate or incomplete client-provided information.
10. Governing law
These terms are governed by the laws of Belgium, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
11. Changes to these terms
We may update these Terms of Service from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised terms. We will notify active clients of material changes.
